On the occurrence of any Event of Default, We shall be authorized to exercise all the rights and remedies under this Agreement or applicable Law or available in equity to seek indemnification for any Loss or Claim resulting from any such Event of Default.</p>

<p>VidaFair is based on a micropayment model that allows content creators fair compensation for their work. Unlike other platforms, VidaFair lets content creators set the streaming prices for their videos, and uses no advertising. VidaFair's costs include data storage, data streaming, software development and financial transaction fees.</p>
<p>We’re based on a simple premise: There is a price point for many online videos that will satisfy both viewers and creators as fair trade, and it's usually quite low.&nbsp;</p>

<h2>Is a grain approximately equal to one U.S. cent?</h2>
<p>If viewers buy their grains on the web and in the largest quantities ($20), yes.</p>
<p>For American users, that math becomes pretty simple:</p>
<ul>
<li>A video rental that costs 15 grains to stream equates to US $0.15 or 15 U.S. cents.</li>
<li>A video rental that costs 120 grains, or g120, equates to US $1.20.&nbsp;</li>
</ul>

<p>Note: If users buy their grains through mobile apps, there may be additional fees which we pass along. Also, grains bought in smaller quantities cost more due to financial transaction costs.&nbsp;</p>

<h2>Can I get a refund if the video isn’t what I expected? Or if my internet connection goes down?</h2>
<p>We don’t pre-screen videos, nor can we control the quality of users’ internet connections. For that reason, VidaFair video rental decisions are non-refundable. It would make no economic sense for VidaFair to incur administrative costs for researching individual refund requests, many of which would be for pennies.</p>
<p>We’ve all been disappointed by movies or live shows we paid to see. VidaFair viewers assume the risk that a video they rent may not be what they expected it would be — or that their own internet connection or hardware device may deliver sub-standard performance.&nbsp;</p>

<h2>Can videos rented on the VidaFair website be viewed on the VidaFair mobile app?</h2>
<p>Yes, the same VidaFair account can be accessed via web, Android app or iPhone app.&nbsp;</p>

<h2>Can I share a VidaFair link with great content on social media?</h2>
<p>Great minds think alike! The content creators will appreciate it -- and so will we!&nbsp;</p>

<h2>Can organizations pay to reach you, the VidaFair user base?</h2>
<p>No. Unlike some other video streaming sites, VidaFair will never sell data about our users to marketing companies, nor sell access to our users’ streams. We don’t run email services, nor search engines. We don’t bombard you with ads. We do exactly one thing: Allow content creators a platform for video rentals at a reasonable price. Transparency and simplicity equals fairness.&nbsp;</p>

<h2>After renting a video on VidaFair, can it be viewed endlessly?</h2>
<p>No. In an effort to keep costs down, we believe 10 views within a 24-hour time period ought to be enough. We realize that life has interruptions and internet connections can be disrupted. Still, keeping our minimum rental prices low requires a compromise between flexibility for viewers and potential costs. We believe a 10-view, 24-hour limit on video rentals is fair. Now you know. But remember, users are also free to rent a video again for additional views.&nbsp;</p>

<h2>Does VidaFair pre-screen uploaded content?</h2>
<p>No. Content creators and video renters should understand that VidaFair has no ability to pre-screen content in any way, as and such, all users agree to hold VidaFair harmless for any action related to the business of streaming, storing, renting and monetizing videos. By creating a VidaFair account, users waive the right to pursue lawsuits naming VidaFair because we either streamed, failed to stream or deleted a video.&nbsp;</p>

<h2>Does VidaFair allow any kind of video content?</h2>
<p>No. We don’t allow pornography, child abuse, threats of violence, personal information publication (doxing), or copyright violations. Any viewers are welcome to Flag a video if they believe it violates any of these prohibited categories.</p>
<p>We understand that some of these judgements can be subjective, and well-intentioned people might disagree whether a certain video meets any of these criteria. But please help us keep VidaFair content healthy by flagging any video you believe violates these rules.&nbsp;</p>

<h2>Can VidaFair Viewers Help the World?</h2>
<p>As viewers, even your small payments for watching content on VidaFair can help evolve the economics of content creation, such that those with talent and vision can be the primary beneficiaries of their efforts, rather than multinational conglomerates. <h2>Can I really set the streaming price for rentals of my original videos?</h2>
<p>Yes. Isn’t it great? You set the fee you want to be paid for each rental of your video. To get started, it's a minimum upload charge of only $5.99 (USD) -- that buys you 500 VidaFair tokens called "grains" which are enough for 5 separate video uploads (each video upload costs g100). VidaFair's free Earnings Calculator, available via the website's drop down menu, makes a video's creator fee setting and resulting per-rental retail price very clear. You can experiment with how different creator fees of your video, of a particular duration, affect the rental price shown to the public.&nbsp;</p>
<h2>How do I get paid for views?</h2>
<p>Every rental of your videos increase the balance of grain tokens shown in your account -- and it's quite simple -- each grain is equivalent to one US penny. Once you have a balance of 2,000 grains or more (which equates to just a $20 minimum), you can use the Cash Out feature in the VidaFair drop down menu to get paid. After supplying a PayPal-registered email address, you can request 2,000 grains or more to be converted to dollars. Cash Out requests are closed each week at Saturday at 12:00amET (NYC time), take about a week for processing, and are subject to a 2% financial transaction fee.&nbsp;&nbsp;</p>

<p>In general, we advise creators to set modest fees. After all, most people aren’t yet accustomed to gatekeeper free, pay-per-stream content. We believe fairness in pricing will foster loyalty among viewers over time, and lower-than-expected pricing often results in more overall revenue.&nbsp;</p>
<h2>Why doesn't VidaFair charge a percentage?</h2>
<p>Since VidaFair's variable costs are based on streaming and storage services, which are tied to file size, we believe it's fairest to base our fee on video duration rather than the creator's choice for a fee. A streaming platform isn't providing more of a service simply because a content creator priced it higher. A platform's streaming fee should be based on its costs -- at least if the objective is maximizing fairness.&nbsp;</p>
<h2>Will my fans need to subscribe to your service?</h2>

By uploading to VidaFair, content creators agree that they will retain other copies of the videos, and VidaFair will not be responsible for storing the only copy of a video.&nbsp;</p>

<h2>Do you really care about copyrights?</h2>
<p>It’s a violation of VidaFair's Terms and Conditions for anyone to upload video content for which they do not have ownership or authority to monetize. <p>The Fair Use provisions of modern U.S. copyright law allow for use of short segments of other people's work for purposes of critique or satire. VidaFair takes a stricter interpretation of Fair Use than many other sites. We do not allow continuous clips of over 60 seconds of another person's work for any reason, and we do not allow videos where over 50% of the entire content came from someone besides the VidaFair uploader. We are not limited to these provisions when enforcing copyrights, but they are our starting point. Videos may also be removed for unlicensed use of music or photographs. Users agree in advance that VidaFair's interpretation of copyright infringements are final.&nbsp;</p>
<h2>How about Videos with doxing, threats or porn?</h2>
<p>We do not allow videos with personal information about another individual (doxing), child abuse, threats of violence or pornography. While we understand the definitions of these things can sometimes be subjective, VidaFair reserves the right to remove a video from the platform for any reason, without providing a refund or explanation to the content creator. By uploading videos, content creators understand these decisions will be made unilaterally by VidaFair. VidaFair also reserves the right to permanently cancel accounts for these or any reason, purely at VidaFair's discretion.&nbsp;&nbsp;&nbsp;&nbsp;</p>
<h2>Can I use the VidaFair mobile app to upload video?</h2>
