<p>Just like painters, photographers, interior decorators and a whole host of other creative professionals who set prices for their work, we believe film and video producers should have the freedom to dream, create and then charge what they see fit. Content creators know best the costs, time spent and market demand for their work. <br><br></p>
<h2>We do respect and compensate creators</h2>
<p>VidaFair represents a significant paradigm shift from other platforms, where content creators can only ever receive a tiny fraction of the proceeds for their work, or are charged platform fees based on a percentage of rental price. We've been content creators ourselves. <br><br></p>
<h2 style="text-align:left;">We do respect and protect video consumers</h2>
<p>Your viewing habits are no one else's business but yours. We accept no corporate sponsorships, no data sharing arrangements and no advertising. Our revenue model is simple and clear -- reasonable fees to host and stream video which are a function of file size, not the creators' prices. Nothing else under the radar, over the radar or otherwise. Sometimes a service that's marketed as "free," isn't as free as people think.&nbsp;</p>
<h2>We don't own anyone’s content</h2>
<p>Some very well known video streaming platforms bury tricky copyright transfer language in long, complex "Terms of Service" agreements. At VidaFair, by contrast, all content remains the property of the content creators. We will never assert ownership of any film or video, ever.&nbsp;</p>
<h2>We don't waste your time</h2>
<p>Do you really want to watch advertisements? Or have them interrupt your film or video? We don't. Nor do we think your time is "free." In service of the platform's reputation and operation, VidaFair, in its sole discretion, may terminate any account (or any part thereof) and remove and discard all or any part of any account, User profile and User Content, at any time.&nbsp;&nbsp;</p>
<p>VidaFair may also in its sole discretion and at any time discontinue providing access to the Website, or any part thereof, with or without notice. You agree that any termination of your access to the Website or any account you may have, or portion thereof, may be affected without prior notice, and you agree that VidaFair will not be liable to you or any third party for any such termination. Any suspected fraudulent, abusive or illegal activity may be referred to appropriate law enforcement authorities.&nbsp;&nbsp;</p>
<p>These remedies are in addition to any other remedies VidaFair may have at law or in equity. <p>You agree to immediately notify our Customer Support Team at contact@vidafair.com if You become aware of or have reason to believe that there is any unauthorized use of Your Participant Account. You also agree to take all reasonable steps to stop such unauthorized use and to cooperate with Us in any investigation of such unauthorized uses. We shall not under any circumstances be held liable for any claims related to the use or misuse of Your Participant Account due to the activities of any third party outside of our control or due to Your failure to maintain the confidentiality and security of Your Participant Account.</p>

<h2>Content and Lecture Videos</h2>

<p>As a part of our Services offered through our Website, We shall grant you access to our content, Lecture Videos, and other information, documents, and data which may be in audio, video, written, graphic, recorded, photographic, or any machine-readable format in relation to the specific certification training course You have registered for ("Content and Lecture Videos").</p>

<p>We reserve the right to amend, revise or update the Content and Lecture videos offered to You. In the event such an amendment, revision or updation occurs, You can access these, without any additional cost during the validity of the subscription.</p>

<h2>Usage of the Website and Services</h2>

<p>We grant you a personal, restricted, non-transferable, non-exclusive, and revocable license to use the Website, the Services, and the Content and Lecture videos offered through the Website till the predefined time of the completion of the course that You have enrolled for or the termination of this Agreement according to the Terms and Conditions set forth herein, whichever is earlier. The Services and the Content and Lecture videos are provided solely for Your personal and non-commercial use to assist you in improving your knowledge or to make face the intended competitive exam or to keep you ahead of the rest. Under any circumstances, You cannot use it for commercial purposes.</p>

<p>You are not permitted to reproduce, transmit, distribute, sub-license, broadcast, disseminate, or prepare derivative works of the Content and Lecture videos, or any part thereof, in any manner or through any communication channels or means, for any purpose other than the Restricted Purpose, without Our prior written consent.</p>

<h2>Intellectual Property Rights</h2>

<p>While You are granted a limited and non-exclusive right to use the Website, the Services, and the Content and Lecture Videos for the Restricted Purpose as set forth in this Agreement, You acknowledge and agree that We are the sole and exclusive owner of the Website, the Services and the Content and Lecture videos and as such are vested with all Intellectual Property Rights and other proprietary rights in the Website, the Services, and the Content and Lecture videos.</p>

<p>You acknowledge and agree that this Agreement other than permitting You to use the Website, the Services, and the Content and Lecture videos for the Restricted Purpose does not convey to You in any manner or form any right, title or interest of a proprietary, or any other nature in the Website, the Services, and the Content and Lecture videos.</p>

<h2>Usage of Personal Information of Participants</h2>

<p>We reserve the right to feature Your picture in any photos, videos, or other promotional material used by Us. Further, We may use Your personal information to inform You about upcoming lecture videos offered by Us. However, We shall not distribute or share Your personal information with any third party marketing database or disclose Your personal information to any third party except on a case-to-case basis after proper verification of such third party or if required under any applicable law.</p>

<h2>Limitation of Liability</h2>

<p>You expressly agree that use of the Website, the Services, and the Content and Lecture videos are at Your sole risk. The disclaimer of liability contained in this clause applies to any and all damages or injury caused by any failure of performance, error, omission, interruption, deletion, defect, delay in operation or transmission, computer virus, communication line failure, theft or destruction or unauthorized access to, alteration of, or use of records or any other material, whether for breach of contract, negligence, or under any other cause of action.</p>

<p>You hereby specifically acknowledge that We are not liable for any defamatory, offensive, wrongful, or other users of the Website, the Services or the Content and Lecture videos and that the risk of damage or injury from the foregoing rests entirely with each user.</p>

<h2>Term and Termination</h2>

<p>This Agreement will become effective upon Your acceptance of the terms of this Agreement by Your clicking on the "I ACCEPT" button and, subject to the terms and conditions of this Agreement, will remain in effect till You maintain a current, fully paid up online Participant Account, or until terminated by Us, whichever is earlier.</p>

<p>We reserve the right to terminate this Agreement and block Your access to the Content and Lecture videos with immediate effect by sending a written notice through email to You to this effect ("Immediate Termination Date"), if such termination is made as a result of Your misrepresentation, default, misconduct, or breach of Your obligations related to or under this Agreement ("Event of Default"). On the occurrence of any Event of Default, We shall be authorized to exercise all the rights and remedies under this Agreement or applicable Law or available in equity to seek indemnification for any Loss or Claim resulting from any such Event of Default.</p>

<h2>Indemnity</h2>

<p>You agree to indemnify and hold Us, Our contractors, licensors, directors, officers, employees, and agents, harmless from and against any and all claims, losses, damages, liabilities, and expenses including attorneys' fees, arising out of Your unauthorized use of the Website, the Services, and the Content and Lecture videos or any violation or breach of this Agreement or any provisions hereof.</p>

<h2>Waiver</h2>

<p>Neither failure nor delay on the part of any party to exercise any right, remedy, power, or privilege hereunder shall operate as a waiver thereof, or of the exercise of any other right, remedy, power, or privilege. No term of this Agreement shall be deemed waived, and no breach consented to, unless such waiver or consent shall be in writing and signed by the party claimed to have waived or consented. No waiver of any rights or consent to any breaches shall constitute a waiver of any other rights or consent to any other breach.</p>

<h2>Severability</h2>

<p>In the event any provision of this Agreement is held invalid or unenforceable under the applicable laws of India, the remaining provisions shall continue in full force and effect, and the Agreement shall be deemed to be reformed by replacing such invalidated or unenforceable provision with a valid and enforceable provision that gives effect as closely as possible to the intentions of the parties as expressed by the invalidated or unenforceable provision.</p>

<h2>Amendment and Assignment</h2>

<p>We reserve the right to unilaterally amend or modify this Agreement without giving any prior notification to You. We shall however publish the revised agreement on the Website so that You are aware of the revisions, modifications and amendments made by Us to this Agreement. You acknowledge and agree that it is Your responsibility to check the Website periodically for any revisions, modifications, and amendments. Your continued use of or access to the Website, the Services, and the Content and Lecture videos following the posting of any changes to this Agreement shall constitute acceptance of those changes.</p>

<p>You are not permitted to assign this Agreement or the rights and obligations mentioned in this Agreement to any third party and You only shall be held liable for any breach of this Agreement or any terms and conditions hereof.</p>

<h2>Entire Agreement</h2>

<p>This Agreement, along with the Privacy Policy, Refund Policy, Rescheduling Policy, Terms of Use, and any additional guidelines, rules, and/or disclaimers posted on the Website constitutes the entire agreement governing Your use of our Website and supersedes any prior agreements, if any, relating to any matter dealt within this Agreement.</p>

Privacy Policy

<h2>Can I really set the streaming price for rentals of my original videos?</h2>
<p>Yes. Isn’t it great? The cost to upload a video is only 100 grains -- that equates to just US$1.00 when grains (grains are VidaFair tokens) are bought "by the bushel," and only $1.99 when bought <em>a la carte</em>. That's all it takes to start earning grains every time a viewer rents your content. Grain balances above 2,000 can be converted to revenue through PayPal.</p>
<h2>How do I get paid for views?</h2>
<p>Once you have a balance of 2,000 grains or more, you can use the Cash Out feature in the VidaFair drop down menu. After supplying a PayPal-registered email address, you can request 2,000 grains or more to be converted to dollars. Cash Out requests are closed each week at Saturday at 12:00amET (NYC time), take about a week for processing, and are subject to a 2% financial transaction fee.&nbsp;&nbsp;</p>
<h2>How much can I make?</h2>
<p>Use our Earnings Calculator to see for yourself! It's under the "About" menu item on the homepage. Enter a video file size, your 24-hour rental price, and the number of views you might expect in 12-months. (Minimum allowable rental prices are a product of file size.)</p>
<h2>How should I set those prices?</h2>
<p>That’s up to you — creators are free to set their own fees per rental, between 0 and 2,000 grains (equivalent to $0-$20.00, after meeting the Cash Out minimum). The total streaming price for viewers is the sum of the creator fee and VidaFair's streaming fee, which is based on file size. The importance of file size is why we suggest a video resolution of 720p for most types of content, as the majority of videos are seen on smartphones or laptops. But 480p and 1080p resolutions are also available at the content creator's prerogative. Podcasts and talking head livestreams, for example, may not prioritize the visuals, whereas certain types of films may justify higher resolution.&nbsp;</p>
<p>In general, we advise creators to set modest fees After all, most people aren’t yet accustomed to pay-per-stream content. We believe fairness in pricing will foster loyalty among viewers over time, and often lower-than-expected pricing actually maximizes revenue.&nbsp;&nbsp;</p>
<h2>Why doesn't VidaFair charge a percentage?</h2>
<p>Since VidaFair's variable costs are based on streaming and storage services, which are tied to file size, we believe it's fairest to base our fee on that. A streaming platform shouldn't demand more money for their service simply because a content creator priced it higher. A platform's streaming fee should be based on its costs.&nbsp;&nbsp;&nbsp;</p>
<h2>Will my fans need to subscribe to your service?</h2>
<p>No. VidaFair neither requires, nor even offers subscriptions. VidaFair units of value are called grains, and they're approximately equal to U.S. pennies, or cents. Every VidaFair grain purchase is a one-time transaction, and each new purchase has to be authorized separately by users.<br><br></p>
<p>We believe subscriptions have a place, but they aren't the best fit for every style of video content, especially independent producers. It's important for your potential viewers to know that this platform will never ask them to subscribe.&nbsp;&nbsp;</p>
<h2>To Cash Out 2,000 grains to $US20, must all the grains be generated by a single video?</h2>
<p>No. All you need is to have a minimum of 2,000 grains (sometimes expressed as "g2,000," and a PayPal ID.&nbsp;&nbsp;</p>
<h2>How do I ask fans to pay for content that's already free on other platforms?</h2>
<p>You probably shouldn't (although nothing would stop you). We recommend that creators continue producing content for existing platforms as they have before, and use VidaFair for different, special content unavailable elswhere, or possibly even older, archived content. In this regard, it would be quite similar to how some creators promote separate content for a Patreon subscriber platform. The difference, of course, is that renting videos on VidaFair requires no subscriptions, and can cost only pennies to view via the micropayment architecture.&nbsp;</p>
<h2>Should I market the videos I upload to VidaFair?</h2>
<p>Yes. VidaFair is a new content monetization platform. While people generally browsing VidaFair content will be able to see your work, you should also tell your followers that it's available on VidaFair, for the low, low price of... an amount mostly determined by you.</p>
<p>Promoting unique VidaFair content to subscribers via social media would be akin to promoting subscription-only Patron content -- which is quite common.&nbsp;&nbsp;</p>
<h2>How will I persuade followers to enter a credit card when they're used to watching videos for free?&nbsp;</h2>
<p>You might let them know:</p>
<p>• They will not be subscribing -- each VidaFair grain purchase is a one-time, a la carte transaction. Who needs another subscription?• They will not be subjected to advertising.• The entry level price of US$1.99 is a one-time charge that does not repeat. This means if they buy $1.99 of grains once, no other charge will ever appear. In an online media space increasingly dominated by subscriptions, this is the key difference and the strategic advantage of the VidaFair model. • The micropayment video rental prices you set will be fair, probably just in the pennies per view.• They can depend on the security of PayPal payment processing (via web browser access). • No one will ever sell their content choices to marketers. They should know VidaFair is not involved in other businesses like search engines, email services or ad campaigns.&nbsp;</p>
<h2>After uploading a video, does it remain on the platform forever?</h2>
<p>Videos uploaded to VidaFair remain available for rental for a period of one year, although videos actively receiving rentals will get extended at no charge. By uploading to VidaFair, content creators agree that they will retain other copies of the videos, and VidaFair will not be responsible storing the only copy of a video.&nbsp;</p>
<h2>Will VidaFair own the content I upload?&nbsp;</h2>
<p>No. Unlike some other video streaming platforms, VidaFair will never claim any form of ownership over any of the video content uploaded to our platform. Uploading to VidaFair has no effect on copyrights.&nbsp;</p>
<h2>Do you really care about copyrights?</h2>
<p>It’s a violation of VidaFair Terms and Conditions for anyone to upload video content for which they do not have ownership or authority to monetize. We take copyright strikes seriously and reserve the right to immediately and permanently ban users who are deemed to have violated our copyright policy. We will also remove such videos without refund.&nbsp;</p>
<p>The Fair Use provisions of modern U.S. copyright law allow for use of short segments of other people's work for purposes of critique or satire. VidaFair takes a stricter interpretation of Fair Use than many other sites. We do not allow continuous clips of over 60 seconds of another person's work for any reason, and we do not allow videos where over 50% of the entire content came from someone besides the VidaFair uploader. We are not limited to these provisions when enforcing copyrights, but they are our starting point. Videos may also be removed for unlicensed use of music or photographs.&nbsp;&nbsp;</p>
<h2>How about Videos with doxing, threats or porn?</h2>
<p>We do not allow videos with personal information about another individual (doxing), child abuse, threats of violence or pornography. While we understand the definitions of these things can sometimes be subjective, VidaFair reserves the right to remove a video from the platform for any reason, without providing a refund or explanation to the content creator. By uploading videos, content creators understand these decisions will be made unilaterally by VidaFair. <h2>Why Should I Pay for Videos? Shouldn’t Videos Be Free?</h2>
<p>VidaFair is based on a micropayment model that allows content creators fair compensation for their work. Unlike other platforms, VidaFair lets content creators set the streaming prices for their videos, and uses no advertising. VidaFair's costs include data storage, data streaming, software development and financial transaction fees.</p>
<p>We’re based on a simple premise: There is a price point for many online videos that will satisfy both viewers and creators as fair trade, and it's usually quite low.&nbsp;</p>

<h2>Is a grain approximately equal to one U.S. cent?</h2>
<p>If viewers buy their grains on the web and in the largest quantities ($20), yes.</p>
<p>For American users, that math becomes pretty simple:</p>
<ul>
<li>A video rental that costs 15 grains to stream equates to US $0.15 or 15 U.S. cents.</li>
<li>A video rental that costs 120 grains, or g120, equates to US $1.20.&nbsp;</li>
</ul>

<p>Note: If users buy their grains through mobile apps, there may be additional fees which we pass along. Also, grains bought in smaller quantities cost more due to financial transaction costs.&nbsp;</p>

<h2>Can I get a refund if the video isn’t what I expected? Or if my internet connection goes down?</h2>
<p>We don’t pre-screen videos, nor can we control the quality of users’ internet connections. For that reason, VidaFair video rental decisions are non-refundable. It would make no economic sense for VidaFair to incur administrative costs for researching individual refund requests, many of which would be for pennies.</p>
<p>We’ve all been disappointed by movies or live shows we paid to see. VidaFair viewers assume the risk that a video they rent may not be what they expected it would be — or that their own internet connection or hardware device may deliver sub-standard performance.&nbsp;</p>

Still, keeping our minimum rental prices low requires a compromise between flexibility for viewers and potential costs. We believe a 10-view, 24-hour limit on video rentals is fair. Now you know. But remember, users are also free to rent a video again for additional views.&nbsp;</p>

<h2>Does VidaFair pre-screen uploaded content?</h2>
<p>No. Content creators and video renters should understand that VidaFair has no ability to pre-screen content in any way, as and such, all users agree to hold VidaFair harmless for any action related to the business of streaming, storing, renting and monetizing videos. By creating a VidaFair account, users waive the right to pursue lawsuits naming VidaFair because we either streamed, failed to stream or deleted a video.&nbsp;</p>

<h2>Does VidaFair allow any kind of video content?</h2>
<p>No. We don’t allow pornography, child abuse, threats of violence, personal information publication (doxing), or copyright violations. Any viewers are welcome to Flag a video if they believe it violates any of these prohibited categories.</p>
<p>We understand that some of these judgements can be subjective, and well-intentioned people might disagree whether a certain video meets any of these criteria. But please help us keep VidaFair content healthy by flagging any video you believe violates these rules.&nbsp;</p>
